Rental Agreement (Terms & Conditions)

1. Introduction

This Rental Agreement (“Agreement”) outlines the terms for renting portable WiFi devices and accessories, including but not limited to USB wall chargers, USB charger cables, and pouches (collectively referred to as “Rental Devices”) from NXT Square Inc. (“COMPANY”) under the brand “WiFiDASH.” This Agreement becomes effective (“Effective Date”) when the customer (“USER”) submits a rental order (“Rental Order”).

2. Service Description

WiFiDASH provides rental portable WiFi devices for internet access within specified areas. "Services" includes the rental of WiFi devices, provision of internet connectivity, customer support, and maintenance of Rental Devices.

3. Acceptance of Terms

By checking the “I agree to terms & conditions” box and submitting a Rental Order on COMPANY’s website, the USER confirms they have read and understood this Agreement.

4. Term

The Agreement starts on the Effective Date and ends when the COMPANY receives the Rental Devices in good condition.

5. Rental Period

o   5.1 Rental Start Date: The rental starts on the date specified by the USER in the Rental Order.

o   5.2 Rental End Date: The rental ends on the last date specified by the USER in the Rental Order.

6. Cancellation

o    To cancel a Rental Order without a fee, the USER must do so five business days before the Rental Start Date. Cancellations after this period will incur a $20 fee. The USER cannot cancel or terminate the agreement after the Rental Start Date. Returning the devices before the Rental End Date does not qualify for a refund.

7. Ownership

The COMPANY retains ownership of all Rental Devices. The USER must notify the COMPANY immediately if the Rental Devices are lost or damaged, as the USER will be liable for any such losses or damages.

8. Use of Rental Devices

o   8.1 Right to Use: The USER is permitted to use the Rental Devices only in the selected country. Selling or renting the devices to third parties is prohibited.

o   8.2 Good Care: The USER is responsible for the care and proper use of Rental Devices, following the manufacturer's specifications and guides.

o   8.3 Fair Use Policy: Data transfer speeds may be limited for excessive usage to ensure fair access for all users.

9. Fees

o   9.1 Rental Fees: Rental fees are as listed on the product page and the order page of the COMPANY’s website at the time the USER submits the Rental Order.

o   9.2 Insurance Fee: Optional insurance costs $2 per day from the Rental Start Date to the Rental End Date and covers damage, loss, or theft until the USER returns the Rental Devices. o      9.3 Shipping Fee: Shipping fees are defined on the order page of the COMPANY’s website.

o   9.4 Late Return Fee: A $10 fee per day applies starting the second day after the Rental End Date until the Rental Devices are dropped off at a FedEx office or other FedEx dropoff location as indicated by the date in the FedEx tracking system.

10. Charges

•        10.1 Rental Fees and Taxes: The USER is responsible for all rental fees, applicable taxes, and any additional charges specified on the product page and the order page of the COMPANY’s website at the time the USER submits the Rental Order.

•        10.2 Insurance: If the USER opts for optional insurance, a fee of $2 per day for the duration of the Rental Period will be charged. This insurance covers damage, loss, or theft of the Rental Devices until the USER returns the Rental Devices as outlined in section 13.

•        10.3 Shipping Fees: Shipping fees apply as defined on the order page of the COMPANY’s website at the time the USER submits the Rental Order.

•        10.4 Late Return Fees: A $10 fee per day will be charged starting the second day after the Rental End Date as outlined in section 9.4.

•        10.5 Other Charges:

o   10.5.1 Repair, Damage, or Loss: The USER is liable for costs due to negligence or misuse.

o   10.5.2 Re-Delivery Fees: The USER may be responsible for re-delivery fees if replacement Rental Devices are requested due to damage, loss, or theft. The USER may also incur re-delivery fees if they provide an incorrect address or fail to receive the Rental Devices for reasons beyond the COMPANY’s control.

o   10.5.3 Legal Expenses: The USER is responsible for any legal costs incurred by the COMPANY due to a breach of this Agreement.

o   10.5.4 Other Fees: Any other fees as specified in this Agreement or applicable law.

•        10.6 Payment:

o   10.6.1 Authorization: The USER authorizes the COMPANY to charge their credit card for all fees and charges.

o   10.6.2 Late Payments: Late payments may incur interest or legal action.

11.    Delivery

•        11.1 Shipping: The COMPANY will ship Rental Devices to the designated address within the U.S.

•        11.2 Timing: Rental Devices will be sent at least 2 days before the Rental Start Date unless specified otherwise.

12.    Return

•        12.1 Return Condition: The USER must return all Rental Devices within one day after the Rental End Date in the same condition received.

•        12.2 Packing and Dropping Off: The USER must securely pack the Rental Devices, attach the prepaid FedEx return label, and drop them off at a FedEx location. If requested, the USER must return the devices immediately. Devices are considered returned once they have been dropped off at a FedEx office or other FedEx drop-off location by the date indicated in the FedEx tracking system, regardless of when they arrive at the COMPANY's office.

•        12.3 Late Return Charges: If devices are not dropped off by the day after the Rental End Date, late fees apply, and the COMPANY may take action to retrieve the devices.

13.    Loss, Damage, or Theft

•        13.1 Reporting Loss or Theft: In the event of loss or theft, the USER must file a police report and provide documentation to the COMPANY for insurance eligibility.

•        13.2 Reporting Damage: If devices are damaged, the USER must notify the COMPANY and return the devices to maintain insurance eligibility.

14.    Termination

The COMPANY reserves the right to terminate this Agreement and request the immediate return of the Rental Devices if the USER breaches the contract or provides false information.

15.    Warranty

All Rental Devices are guaranteed to be in good working condition upon delivery. The USER must notify the COMPANY immediately if a device malfunctions.

16.    Disclaimer

The COMPANY is not responsible for service issues caused by communication companies, including data usage limits.

17.    Force Majeure

The COMPANY is not liable for delays or service suspensions due to events beyond its control, such as natural disasters or strikes.

18.    Liability and Indemnification

The COMPANY is not liable for damages from the USER's use of the Rental Devices or Services, except as required by law. The USER agrees to indemnify the COMPANY against any claims or losses related to their use of the Rental Devices.

19.    No Waiver

Failure to enforce any rights under this Agreement does not waive the COMPANY’s right to enforce those rights in the future.

20.      Governing Law

This Agreement is governed by the laws of the State of California.

22.    Miscellaneous

The COMPANY reserves the right to change these terms without notice. The most current version is available on the COMPANY’s website.

23.   Entire Agreement

This Agreement constitutes the entire understanding between the USER and the COMPANY regarding the Rental Devices and supersedes all prior agreements, oral or written.
